Basically, there is no "convert" function between exFAT and other formats. You can't convert to exFAT, and you can't convert exFAT to FAT. Only conversions to NTFS are supported.
In your case, you need to copy all your files to a backup drive, reformat th USB device, and themn copy the files back. But keep in mind that if you have filoes > 4gb, they won't copy onto the FAT32 because FAT32 does not support it. Answered Mar, 02 2011

I assume you know how to open CMD.

Just type in the code below if you want to format
C drive

format c:\

for D drive
format d:\

for  E drive
format e:\

and so forth

The Disk Management only lets you pick exFAT (because the disk is over 32GB).

Download fat32format: http://www.softpedia.com/get/System/Hard-Disk-Utils/FAT32format.shtml

It should works fine.
