Basically, there is no "convert" function between exFAT and other formats. You can't convert to exFAT, and you can't convert exFAT to FAT. Only conversions to NTFS are supported.
In your case, you need to copy all your files to a backup drive, reformat th USB device, and themn copy the files back. But keep in mind that if you have filoes > 4gb, they won't copy onto the FAT32 because FAT32 does not support it. Answered Mar, 02 2011

EXFat is just an extended version of the FAT format. Unlike FAT, and FAT32, it can support files as large as 16 Exbibytes, and can support disk sizes up to 64 Zebibytes. FAT32 only supports files as large as 4GBs, and drives as large as 2TBs. If you plan on storing files larger then 4GBs on it, then you should use EXFat on your USB drive, as it will then be able to support files that large. As long as you have MacOSX Snow Leopard 10.6.5 or greater on your Mac, then you’ll be able to use your drive with both computers. However, if your not going to be storing files that large on your USB drive, then just stick with FAT32. Hope this helps a bit!

The only solution is to copy all the files to a backup, reformat your drive and then copy all the files to the drive. But   is your data is >4 GB , they won't copy onto FAT32. FAT32 doesn't support it.

If you lost your data then you can use Stellar windows data recovery software , which recover all your lost files from any storage media.

Changing Drive File System: exFat/NTFS to FAT32??

Isn't there a limit in Windows of only 32GB for Fat32?

A way around this should be to just get a bootable partition (G-parted, Clonezilla) software, and create the partition there in Fat32. Otherwise you will be stuck with Fat32 is all you have is Windows OS.

besides the volume size limitation, is the FILE SIZE LIMITATION: "The maximum possible size for a file on a FAT32 volume is 4 GB minus 1 byte (232−1 bytes). Video applications, large databases, and some other software easily exceed this limit. Larger files require another formatting type such as NTFS."
